Terms and Conditions — Squawk

Please read these Terms and Conditions ("Terms") carefully before downloading, installing, or using Squawk, a desktop AI-powered WhatsApp automation software developed by TenH Tech ("we," "us," "our"). By downloading, installing, activating, or using Squawk, you ("you," "user") agree to be bound by these Terms. If you do not agree, do not install or use the software.

1. Nature of the Software {#nature-of-software}

Squawk is a desktop application that connects to a user's WhatsApp account and uses artificial intelligence, provided by third-party AI providers selected by the user, to automatically generate and send replies to incoming one-on-one WhatsApp messages. Squawk runs locally on the user's own computer.

2. License Grant {#license-grant}

Subject to your compliance with these Terms and payment of any applicable license fees, TenH Tech grants you a limited, non-exclusive, non-transferable, revocable license to install and use Squawk on the number of devices permitted by your license tier, for your own personal or business use. This license does not grant you ownership of the software, and you may not sublicense, resell, reverse-engineer, or redistribute Squawk without prior written consent from TenH Tech.

3. Eligibility & Account Responsibility {#eligibility}

You must be at least 18 years old and have the legal authority to connect the WhatsApp account you use with Squawk, whether personal or on behalf of a business. You are solely responsible for ensuring your use of Squawk, and any messages sent through it, complies with applicable laws, WhatsApp's own terms of service, and any obligations you owe to your customers or contacts.

4. WhatsApp Connection Method & Risk Disclosure {#whatsapp-risk}

Squawk connects to WhatsApp using an unofficial, browser-session-based automation method rather than the official Meta WhatsApp Business API. This method does not require purchasing or provisioning the official Meta Business API, but it is not an integration sanctioned or endorsed by Meta or WhatsApp.

You acknowledge and accept that:

  • Use of this connection method carries an inherent risk that WhatsApp may flag, restrict, suspend, or permanently ban the connected number, at WhatsApp's sole discretion and outside of TenH Tech's control.
  • TenH Tech makes no guarantee regarding the continued availability, stability, or compliance status of this connection method, as it depends on WhatsApp's own systems and policies, which may change at any time without notice.
  • TenH Tech is not liable for any loss, damage, or business interruption resulting from a WhatsApp account being flagged, restricted, or banned while connected to Squawk.
  • If you require a fully sanctioned integration, TenH Tech separately offers setup and management of the official Meta WhatsApp Business API as an alternative service, available on request.

5. Third-Party AI Providers {#third-party-ai}

Squawk requires you to connect your own account and API credentials with a third-party AI provider of your choosing (including but not limited to OpenAI, Anthropic, Google, or Groq). You are responsible for maintaining a valid account, complying with the applicable provider's terms of service, and covering any usage costs charged by that provider. TenH Tech is not responsible for the availability, accuracy, output quality, or costs associated with any third-party AI provider.

6. Licensing, Fees & Activation {#licensing-fees}

Access to Squawk requires a valid, active license issued by TenH Tech, which may be time-based (daily, monthly, or lifetime) and subject to device limits as specified at the time of purchase. TenH Tech reserves the right to suspend or deactivate a license in the event of non-payment, license key sharing beyond permitted device limits, or violation of these Terms. Fees paid for licenses are non-refundable except where required by applicable law or expressly stated otherwise at the time of purchase.

7. Acceptable Use {#acceptable-use}

You agree not to use Squawk to:

  • Send unsolicited bulk messages (spam) in violation of applicable law;
  • Harass, deceive, or defraud any recipient;
  • Impersonate any person or entity;
  • Transmit unlawful, defamatory, or harmful content; or
  • Attempt to reverse-engineer, decompile, or circumvent the software's licensing or security mechanisms.

8. Intellectual Property {#intellectual-property}

All rights, title, and interest in and to Squawk, including its software, branding, design, and documentation, are the exclusive property of TenH Tech or its licensors. Nothing in these Terms transfers any such intellectual property rights to you beyond the limited license expressly granted in Section 2.

9. Disclaimers {#disclaimers}

Squawk is provided on an "as is" and "as available" basis. TenH Tech makes no warranties, express or implied, regarding the software's uninterrupted operation, freedom from errors, fitness for a particular purpose, or the accuracy, appropriateness, or reliability of AI-generated replies sent through the software. You are responsible for reviewing and validating AI-generated content used in your business communications.

10. Limitation of Liability {#limitation-of-liability}

To the maximum extent permitted by applicable law, TenH Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or damages arising from a WhatsApp account being flagged, restricted, or banned, arising out of or related to your use of, or inability to use, Squawk. TenH Tech's total aggregate liability for any claim arising from these Terms or your use of Squawk shall not exceed the amount of license fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification {#indemnification}

You agree to indemnify and hold TenH Tech harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of Squawk, your violation of these Terms, or your violation of any third party's rights, including WhatsApp's terms of service.

12. Termination {#termination}

TenH Tech may suspend or terminate your license and access to Squawk at any time, with or without notice, if you breach these Terms. Upon termination, your right to use Squawk immediately ceases, though locally stored data on your device remains under your own control and is not automatically deleted by TenH Tech.

13. Changes to These Terms {#changes-to-terms}

TenH Tech reserves the right to modify these Terms at any time. Material changes will be communicated through the application or our website. Continued use of Squawk after changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law {#governing-law}

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or your use of Squawk shall be subject to the exclusive jurisdiction of the courts of Pakistan.
